These terms govern your use of PortalXSys services and our test case development platform. By accessing our website or using our services, you agree to these conditions. We've written these terms to be as clear as possible while ensuring proper legal protection.

1. Acceptance and Agreement

When you access portalxsys.com or engage our test case development services, you're entering into a binding agreement with PortalXSys. This agreement covers all interactions with our platform, services, and team members.

If you're accessing our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms. Individual users and corporate clients are equally bound by these conditions.

Important: These terms may change as our services evolve. We'll notify existing clients of significant changes, but it's your responsibility to review updates periodically.

2. Service Description and Scope

PortalXSys specializes in comprehensive test case development and execution services. Our work includes creating detailed testing documentation, implementing automated testing frameworks, and providing quality assurance consulting.

What We Provide:

  • Custom test case development tailored to your software requirements
  • Test execution and results documentation
  • Quality assurance process consultation
  • Testing framework implementation and optimization
  • Bug tracking and reporting systems
  • Performance and security testing services

Service Limitations:

Our services are limited to testing and quality assurance activities. We don't provide software development, system administration, or ongoing technical support unless specifically contracted for additional services.

3. User Responsibilities and Conduct

Successful testing projects require collaboration. Here's what we need from you to deliver quality results:

  1. Provide accurate project requirements and specifications in a timely manner
  2. Grant necessary access to systems, documentation, and personnel for testing activities
  3. Respond to questions and requests for clarification within agreed timeframes
  4. Maintain confidentiality of any proprietary testing methods or tools we share
  5. Use our services only for legitimate business purposes
  6. Respect intellectual property rights and licensing agreements

You're responsible for backing up your own data before testing begins. While we take precautions, testing activities may occasionally affect system performance or reveal unexpected issues.

4. Intellectual Property and Confidentiality

Your Intellectual Property:

You retain full ownership of your software, data, and business processes. Our testing work doesn't create any ownership claims over your intellectual property.

Our Intellectual Property:

Testing methodologies, custom tools, and proprietary frameworks developed by PortalXSys remain our intellectual property. Test cases and documentation created specifically for your project become yours upon final payment.

Confidentiality Commitments:

  • We protect all client information as confidential business data
  • Access to client systems and data is limited to authorized team members
  • Project details aren't shared with third parties without written permission
  • We implement appropriate security measures for data handling and storage

This confidentiality survives the end of our working relationship and applies to all information that isn't publicly available.

5. Payment Terms and Refund Policy

Payment Structure:

Late Payment Policy:

Accounts past due by more than 30 days may be subject to service suspension. We charge 1.5% monthly interest on overdue balances, and you're responsible for collection costs if legal action becomes necessary.

Refund Conditions:

Refunds are available for services not yet delivered if you cancel within 48 hours of project initiation. Completed work isn't refundable, but we'll work with you to address any quality concerns.

6. Limitation of Liability

Professional testing services involve inherent risks. While we maintain high standards and appropriate insurance, there are limits to our liability.

Liability Limitations:

  • Our total liability is limited to the amount you've paid for services in the 12 months preceding any claim
  • We're not liable for indirect, consequential, or punitive damages
  • Business interruption or lost profits aren't covered under our liability
  • We don't guarantee that testing will identify all possible defects or vulnerabilities

These limitations don't apply to gross negligence, intentional misconduct, or violations of applicable law. Some jurisdictions don't allow certain liability exclusions, so these limits may not fully apply to you.

Risk Acknowledgment: Testing activities may temporarily impact system performance or reveal security vulnerabilities. You acknowledge these inherent risks when engaging our services.

7. Data Protection and Privacy

We handle client data with appropriate security measures and respect for privacy. Our data practices align with industry standards and applicable regulations.

Data Collection and Use:

  • We collect only data necessary for testing and project management purposes
  • Client data isn't used for marketing or shared with third parties
  • Test data is securely stored and deleted according to agreed schedules
  • Access logs are maintained for security and audit purposes

Data Security Measures:

Our team uses encrypted communication channels, secure development environments, and access controls appropriate for the sensitivity of client data. We maintain cyber liability insurance and follow established incident response procedures.

If you're subject to specific regulatory requirements (GDPR, HIPAA, etc.), please inform us during project planning so we can implement appropriate additional safeguards.

8. Force Majeure and Service Interruptions

Sometimes circumstances beyond our control affect service delivery. We're not liable for delays or interruptions caused by:

  • Natural disasters, pandemics, or government actions
  • Internet outages, power failures, or telecommunications disruptions
  • Third-party software failures or security incidents
  • Client system unavailability or access restrictions

When possible, we'll provide advance notice of planned maintenance or known issues that might affect your project timeline. Emergency situations will be communicated as soon as reasonably possible.

Extended force majeure events lasting more than 30 days may allow either party to terminate affected projects without penalty.

9. Termination and Project Closure

Termination Rights:

Either party may terminate our agreement with 30 days written notice. Immediate termination is allowed for material breach that isn't cured within 15 days of written notice.

Project Closure Process:

  1. Final deliverables are provided within 15 business days
  2. Outstanding invoices become due immediately
  3. Access to client systems and data is revoked
  4. Confidential information continues to be protected
  5. Project documentation is transferred or securely destroyed per agreement

Work completed before termination remains yours, and you're responsible for payment of services delivered up to the termination date.

10. Dispute Resolution

We prefer to resolve disagreements through direct communication, but formal processes are available when needed.

Resolution Process:

Disputes should first be addressed through project management channels. If direct resolution isn't possible, we'll engage in good-faith mediation before considering litigation.

Any legal proceedings will be conducted in Taiwan courts under Taiwan law. Both parties waive rights to jury trial and class action participation.

The prevailing party in any dispute may recover reasonable attorney fees and costs, encouraging fair and reasonable positions from both sides.

Effective Date and Amendments

These terms became effective on March 15, 2025, and replace all previous versions. We may update these terms occasionally to reflect service changes or legal requirements. Significant changes will be communicated to active clients at least 30 days before taking effect.
